Well all depends what he is planning to run really, is it a gaming computer or just once to run some applications such as Word, etc? First of all I would say that currently Windows Vista is a bad choice when you have now Windows 7 available which is much faster and better. In fact, you should just skip Windows Vista and not even consider it. Then about the 32-bit versus 64-bit, I would say that the difference is minor and in the past we did see that games run a bit faster in the 32-bit version. 
It is all nice and good to have a 64-bit capable CPU such as the Athlon 64 but you also need the software to work in 64-bit to take full advantage and frankly not all software do nor do all games do that. But since Windows 7 is there, I would just go for the 64-bit version cause indeed the 32-bit has a limitation of max 4GB of system memory while the 64-bit version doesn't. With the 64-bit version the limitation is much higher and only reached at 128GB.
